These Terms of Use govern your use of Yetlix services. Please read them carefully.
These Terms of Use are an electronic contract executed under the provisions of applicable laws and regulations by and between:
Yetlix (India) is, a company incorporated and having its registered office in India (hereinafter referred to as "Yetlix / Facilitator / We", which expression shall, unless repugnant to the context or meaning thereof, include its successors and permitted assigns).
AND
The "Client"/ "You" that is the user/entity/person/business subscribing for any Services made available by Yetlix and accepting the terms and conditions contained herein electronically.
By executing the Order Form or by accessing or using the Yetlix Platform and services, You hereby acknowledge that You have read, understood and agree to these Terms of Use.
For the purposes of this Agreement, You and Yetlix have been individually referred to as "Party" and collectively as the "Parties".
WHEREAS Yetlix is inter-alia engaged in the business of facilitation of tour and travel related services and the Client is desirous of engaging Yetlix for availing its services in accordance with the terms and conditions stipulated hereunder.
For the purpose of these Terms of Use, the following terms shall have the meanings assigned to them:
"Applicable Laws" means any law, statute, ordinance, rule, regulation, including all amendments, updates thereto.
"Affiliate" means any person that is Controlled by or is under common Control with Client.
"Authorised User" means the employees, agents and representatives of the Client authorised to use the Services.
"Yetlix Platform" is the dedicated business to business section of booking platforms owned by Yetlix.
"Order Form" shall mean a validly executed contractual document between Client and Yetlix.
"Service(s)" means the reservation functionality made available through the Yetlix Platform.
Yetlix shall provide the Services to the Client on the Yetlix Platform subject to the terms and conditions of this Agreement.
Subject to the terms of this Agreement, Yetlix grants to Client a non-exclusive, non-transferable, revocable licence to access and use the Services.
The Client shall be responsible and liable for the acts and omissions of its Authorized Users and any Affiliate(s).
Client shall not copy, modify, reverse engineer, or create derivative works from the Services without prior written approval.
Yetlix will provide the Services in accordance with laws which apply to its business and with reasonable skill and care.
Client understands and agrees that Yetlix is merely acting as an intermediary and an aggregator and is not the actual supplier/service provider of Travel Services.
In lieu of the Services provided by Yetlix to the Client, Yetlix shall charge a Service Fee as mutually agreed between the Parties in the Order Form.
At the time of completing the booking on the Yetlix Platform, Client will receive a booking voucher which will include details such as the Listing price and the Service Fee.
Any payments made on the Yetlix Platform for uploading the E-wallet or making repayment shall attract an additional 1.5% payment gateway fees.
If outstanding payments are not paid by Client to Yetlix by the due date, Yetlix may suspend the Client's access to the Services.
Invoices for services of Affiliates of Yetlix shall be raised on the Client by such Affiliate and Client shall be liable to honour such invoices.
Yetlix will issue a GST invoice for its Service Fees and applicable GST. The Primary Service Provider will issue its separate GST invoice for the Listing Price and applicable GST.
Yetlix endeavours to provide GST invoices for all flights on the Yetlix Platform at the time of booking.
Payments towards Service Fees would be subject to withholding tax as per applicable laws.
Each Party undertakes to provide necessary documents to prove compliance with applicable tax laws.
The Client acknowledges and agrees that Yetlix and/or its licensors at all times, retain all rights, interest and title in the Services and the Yetlix Platform including but not limited to all and any derivatives, customizations, and improvisations or any part or portion thereof.
Except as expressly stated herein, this Agreement does not grant the Client any rights to, under or in, any patents, copyright, database right, trade secrets, trade names, trademarks or any other rights or licences in respect of the Services or the Yetlix Platform.
Each party receiving Confidential Information ("Receiving Party") from the other party ("Disclosing Party") shall use the Disclosing Party's Confidential Information solely for the purposes of fulfilling its obligations under this Agreement.
Keep the Disclosing Party's Confidential Information secure with reasonable care.
Not disclose the Disclosing Party's Confidential Information to any third party without prior written consent.
May disclose Confidential Information to the extent compelled by law with prior notice.
Client acknowledges that Yetlix may use any feedback provided by Client or Authorized Users.
The Client agrees and understands that Yetlix is a 'Data Processor' under the Digital Personal Data Protection Act, 2025 and the Client is acting in the capacity of a 'Data Fiduciary'.
Yetlix shall ensure that it will periodically review its security and compliance programs and maintain the security of its operations centre in accordance with industry standards.
Yetlix reserves the right to upgrade, modify, replace, improvise or reconfigure the Yetlix Platform at any time, with or without notice to the Client.
The Client shall be solely responsible for procuring, maintaining and securing its network connections and systems.
Client shall maintain and use appropriate and up-to-date virus protection procedures and software on equipment used to access the Yetlix Platform.
To the fullest extent permitted by law, and as mutually agreed between the Parties; Yetlix provides the Services and the Yetlix Platform on an "as is" basis.
Yetlix does not give any representation or warranty with respect to any aspect of any third-party suppliers' services or of the Primary or Client Contracted Service Providers. In the event of Primary or Client Contracted Service Providers default with respect to all or any part of their services, the Client's sole recourse shall be with such Primary or Client Contracted Service Providers.
Each Party shall indemnify, hold harmless and defend the other Party, its officers, employees and directors from and against all claims, demands, suits, judgments, expenses, liabilities and losses arising out of or in connection with:
The indemnified Party shall promptly notify the indemnifying Party of any and all threats, claims, and proceedings related thereto, and is provided with reasonable assistance and the opportunity to assume sole control over the defence and settlement of such claim(s).
Subject to the Client's payment obligations each party's total liability to the other arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the Service Fees paid by Client in that twelve (12) month period.

The Order Form sets out the Term for the Services. If no Term is identified, then the Services are provided perpetually unless terminated in accordance with these Terms of Use.
Yetlix may suspend or terminate the Services immediately if Client is in breach of this Agreement and fails to remedy such breach within thirty (30) calendar days after written notice.
Client may terminate this Agreement immediately if Yetlix is in breach of this Agreement and fails to remedy such breach within thirty (30) calendar days after written notice.
Termination or expiry does not relieve Client of its obligation to pay the Service fees and the booking amounts for the period prior to the effective date of termination.
This Terms of Use, along with applicable Order Form constitutes the entire understanding of the Parties related to the subject matter hereof.
Amendments to the Agreement will only be valid if made in writing and signed by a duly authorized representative of each party.
The Parties are independent contractors. Nothing in this Agreement shall be construed as constituting a partnership, franchise, joint venture, agency, fiduciary or employment relationship.
This Agreement shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the jurisdiction of competent courts in India.
The Parties release each other from any liability for failure to perform their obligations under this Agreement which results from a Force Majeure Event.
